M & H Solutions – Terms of Service

1. Agreement to Terms

By purchasing services from M & H Solutions (“Company,” “we,” “us,” or “our”), you (“Client,” “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not purchase or use our services.

2. Services

M & H Solutions provides software development, web development, consulting, and related technical services (“Services”). Specific project details—including scope, deliverables, timeline, and pricing—will be communicated prior to payment.

We reserve the right to refuse service to anyone for any reason.

3. Scope of Work

All work is limited to the agreed-upon scope at the time of purchase.

• Additional work may require a new quote or be billed separately
• We are not obligated to perform out-of-scope work without compensation

4. Payment Terms

• Payment is required upfront unless otherwise agreed
• All fees are in USD unless stated otherwise
• Payments are non-refundable except as outlined below

Failure to pay may result in suspension, withholding of deliverables, or termination.

5. Refund Policy

Due to the nature of digital and custom services:

• All payments are generally non-refundable
• Partial refunds may be issued at our discretion if work has not started or is minimal
• No refunds after substantial work has begun

6. Delivery & Timelines

We will make reasonable efforts to meet timelines, but they are not guaranteed.

• Delays may occur due to client response time, scope changes, or technical issues
• We are not liable for delays outside our control

7. Client Responsibilities

You agree to:

• Provide accurate information
• Respond in a timely manner
• Supply necessary assets
• Have rights to all provided materials

8. Intellectual Property

Ownership Transfer:

Upon full payment, you own the final deliverables defined in scope.

We may reuse general knowledge and showcase work in our portfolio unless agreed otherwise.

Projects may include third-party tools subject to their own licenses.

9. Revisions

Reasonable revisions are included within scope. Excessive or out-of-scope revisions may incur additional charges.

10. Termination

We may terminate services if:

• Terms are violated
• Payment is not made
• Communication breaks down

Completed work will be delivered if paid for. No refunds for completed work.

11. Limitation of Liability

To the maximum extent permitted by law, M & H Solutions is not liable for indirect or consequential damages (lost profits, data loss, etc.).

Total liability is limited to the amount paid for the service.

12. No Guarantees

We do not guarantee business outcomes, revenue increases, or performance metrics. Services are provided “as is.”

13. Indemnification

You agree to indemnify M & H Solutions from claims arising from materials you provide, your use of deliverables, or violation of these Terms.

14. Modifications to Terms

We may update these Terms at any time. Continued use of services means you accept the updated Terms.

15. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia.
